These terms govern the use of the Jump.Video website, Jump’s online demo at App.Jump.Video, and use of the Jump AI video editing software (the “Software”), collectively referred to as the Yobi, Inc. Properties. By accessing or using the Yobi, Inc. Properties in any way, you represent that 1) You have read, understand, and agree to be bound by these terms, 2) You are of legal age to form a binding contract with Yobi, Inc., and 3) You have the authority to enter into these terms. If you do not agree to be bound by the terms, you may not use the Yobi, Inc. Properties.

These terms may be subject to change by Yobi, Inc. at any time. When changes are made to these terms, Yobi, Inc. will update them on this Terms of Service page.

Copyrights
All content on Yobi, Inc. Properties, including this website, the online demo website at App.Jump.Video, and the Software, including images, text, videos, software, and related works is copyrighted and belongs to Yobi, Inc., except the use of the Game of Thrones video footage, which is used for demonstration purposes only, and unless noted otherwise. All rights are reserved. Publishing of material on Jump’s website does not imply permission to copy or distribute the material without written authorization.

Yobi, Inc. does not claim ownership to any videos of your own that you edit with the Jump software, not does Yobi, Inc. claim any ownership to videos from third parties that we may show for demonstration purposes.

Trademarks
Jump AI, Yobi, Inc., and the Jump logo are registered trademarks of Yobi, Inc. They may not be used to identify goods without the express written permission of Yobi, Inc.

Software License Terms
This licensing agreement limits our liability. Please read below as these terms affect your rights.

Installation of the Software is licensed only in accordance with these Terms. While the Software works within the Adobe Premiere Pro software and may work with other external video editing softwares and tools, Jump, the Software, and Yobi, Inc. are in no way affiliated with Adobe, Inc., Apple, Inc., or other third parties that create video editing software, unless noted otherwise.

Yobi, Inc. will provide access to the Jump Software via download and shall not use or deliver any tangible media in connection with the delivery or installation of the Software.
This Software is distributed "as is" and with no warranties of any kind, whether express or implied, except as required by law. If you intend to rely on this Software for critical purposes you must test it fully prior to using it, and assume any risk.

Disclaimers
Yobi, Inc. properties, including the Software, are provided on an “as-is” and “as available” basis, and Yobi, Inc. expressly disclaims any and all warranties and conditions of any kind, whether express, implied, or statutory, including all warranties or conditions of merchantability, fitness for a particular purpose, title, quiet enjoyment, accuracy, or non-infringement. Yobi, Inc. makes no warranty that the services will meet your requirements, will be available on an uninterrupted, timely, secure, or error-free basis, or will be accurate, reliable, free of viruses or other harmful code, complete, legal, or safe. If applicable law requires any warranties with respect Yobi, Inc. Properties, all such warranties are limited in duration to thirty (30) days from the date of first use. Yobi, Inc. disclaims any and all responsibility or liability in relation to the content made available through the Software, including the customer content, or any content or services provided by third parties. Yobi, Inc. does not control or vet customer content and is not responsible for what users edit or publish using the Software. Yobi, Inc. is not responsible or liable in any manner for any third party services associated with or utilized in connection with the services, including the failure of any such third party services or supported platforms.

Yobi, Inc. will not be liable for any loss arising out of the use of this software including, but not limited to, any special, incidental or consequential loss. You may not use this software in any circumstances where there is any risk that failure of this software might result in a physical injury or loss of life. You may not use this software if you do not regularly backup your computer, or do not have firewall software installed on the computer, or keep sensitive data unencrypted on your computer. You agree to indemnify us from any claims relating to such unauthorized use.

You may not, under any circumstances, distribute this software to other parties without written permission.
Use of data collected by this software is subject to the Yobi, Inc. Privacy Policy, which may allow automatic anonymized collection of usage statistics in limited circumstances. You may read our Privacy Policy here.

If you reside in the United States, your relationship is with Yobi, Inc. is governed by the laws and courts of the state of New York. If you reside anywhere in the world outside of the United States, your relationship is with Yobi, Inc. an India company, and this agreement is governed by the laws and courts of India. Such courts have continuing and exclusive jurisdiction over any dispute between you and us, regardless of the nature of the dispute.

Limitation on Liability
To the maximum extent permitted by law, in no event shall Yobi, Inc. be liable to you or any third party for any lost profits, lost data, costs of procurement of substitute products, or any indirect, consequential, exemplary, incidental, special or punitive damages arising from or relating to these terms or your use of, or inability to use, Yobi, Inc. Properties, even if Yobi, Inc. has been advised of the possibility of such damages. Access to and use of Yobi, Inc. Properties is at your own discretion and risk, and you will be solely responsible for any damage to your device, software, or computer system, or loss of data resulting therefrom.

To the maximum extent permitted by law, notwithstanding anything to the contrary contained herein, our liability to you for any damages arising from or related to this agreement (for any cause whatsoever and regardless of the form of the action), will at all times be limited to a maximum of fifty us dollars (U.S. $50.00). The existence of more than one claim will not enlarge this limit. Some jurisdictions do not allow the limitation or exclusion of liability for incidental or consequential damages, so the above limitation or exclusion may not apply to you.

Registration
In order to download the Software, you will be required to provide your first name, last name, and email address. In order to subscribe to use the Jump.Video software after the free trial period, you must provide a username, account password, first name, last name, a valid major credit card number, expiration date, and security code, as well as your credit card billing address.

In registering to use the Software, you agree to (1) provide true, accurate, current, and complete information; and (2) that you are at least eighteen (18) years of age.

You agree to notify Yobi, Inc. immediately of any unauthorized use of your password or any other breach of security by filling out the form at the Jump Contact Page or by sending an email to support@jump.video. If you provide any information that is untrue, inaccurate, not current, or incomplete, or if Yobi, Inc. has reasonable grounds to suspect that such information is untrue, inaccurate, not current, or incomplete, Yobi, Inc. has the right to suspend or terminate your use of the Yobi, Inc. Properties and refuse any and all current or future use of Yobi, Inc. Properties (or any portion thereof.)

Subscription Fees
You may download and use the Software for free for one month when you provide a valid first name, last name, and email address. Before your first free month is over, we will email you and invite you to subscribe and continue to use the Software for a monthly subscription fee. Once you subscribe and provide your payment information, you will billed in advance on a monthly basis for continued use of the Software.

Subscription fees are non-refundable for the subscription period for which they are purchased. You must provide Yobi, Inc. with a valid credit card, such as Visa, MasterCard, or other payment method (such as a PayPal account) that is accepted by us to pay the subscription fee. You agree that we may process your credit card or other valid payment method on each renewal term, on the calendar day corresponding to the first day you subscribed to the paid subscription.

By providing Yobi, Inc. with your credit card number, PayPal email address or phone number, and other payment information, you agree that Yobi, Inc. is authorized to invoice your account for the monthly fee that is due and payable to Yobi, Inc., and that no additional notice or consent is required. You agree to immediately notify Yobi, Inc. of any change in your billing address, credit card use for the payment, or other changes to your payment information. Yobi, Inc. reserves the right at any time to change its prices and billing methods, and will notify users of this change on Jump.Video and by email.

Automatic Renewal
Your payment to Yobi, Inc. will automatically renew at the end of the subscription period, unless you cancel your subscription by sending us a message notifying us that you want to cancel either by filling out the form at the Jump Contact Page or by sending an email to support@jump.video. The cancellation will take effect the day after the last day of the current subscription period.

Refunds and Cancellations
Except as set forth in these Terms, subscription fees for the Software are non-refundable. You may cancel your use of the Software at any time by sending us a message at the Jump Contact Page or by sending an email to support@jump.video. Yobi, Inc. will not bill you starting with the next billing cycle after we receive your cancellation notice.

Taxes
Yobi, Inc.’s fees are net of any applicable sales tax. If any payments for the Software are subject to sales tax in your jurisdiction, you will be responsible for the payment of such sales tax and any related penalties or interest to the relevant tax authority, and you will indemnify Yobi, Inc. for any liability or expense incurred in connection with such sales tax. Upon our request, you will provide us with official receipts issued by the appropriate taxing authority, or other such evidence that you have paid all applicable taxes. For purposes of this section, “sales tax” shall mean any sales or use tax, and any other tax measured by sales proceeds that Yobi, Inc. is permitted to pass to its customers, and that is the functional equivalent of a sales tax where the applicable taxing jurisdiction does not otherwise impose a sales or use tax.

Billing Disputes
You must notify us of any billing errors in writing within seven (7) days after receiving your credit card or other payment method statement by filling out the form at the Jump Contact Page or by sending an email to support@jump.video.

Termination of Service
Yobi, Inc. reserves the right to terminate use of the Software in the event you violate these Terms of Service or for other reasons at Yobi, Inc.’s discretion.

Indemnification
You agree to indemnify and hold Yobi, Inc., its parents, subsidiaries, affiliates, officers, employees, agents, partners, and licensors (collectively, the “Yobi, Inc. Parties”) harmless from any losses, costs, liabilities, and expenses (including reasonable attorneys’ fees) relating to or arising out of: (a) your content or videos; (b) your violation of the Terms; or (c) your violation of any applicable laws, rules, or regulations. Yobi, Inc. reserves the right, at its own cost, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which event you will fully cooperate with Yobi, Inc. in asserting any available defenses. This provision does not require you to indemnify any of the Yobi, Inc. Parties for any unconscionable commercial practice by such party or for such party’s fraud, deception, false promise, misrepresentation or concealment, suppression, or omission of any material fact in connection with the Yobi, Inc. Properties. You agree that the provisions in this section will survive any termination of your use of the Yobi, Inc. Properties.

Term and Termination
These Terms commence on the date that you start using Yobi, Inc. Properties and remain in full force and in effect while you use Yobi, Inc. Properties, unless terminated earlier in accordance with these Terms. Yobi, Inc. may terminate these Terms, including your access to any Yobi, Inc. Properties, in the event you violate any terms or conditions hereunder, upon notice to you.

Governing Law
The Terms and any action related thereto will be governed and interpreted by and under the laws of the State of New York, consistent with the Federal Arbitration Act, without giving effect to any principles that provide for the application of the law of another jurisdiction.

Severability
If any provision in these Terms is, for any reason, held to be invalid or unenforceable, the other provisions of these Terms will remain enforceable, and the invalid or unenforceable provision will be deemed modified so that it is valid and enforceable to the maximum extent permitted by law.
